These Terms of Service ("Terms") govern your use of Phox Vault ("the Plugin"), a WordPress plugin developed and sold by Phox Elements ("we", "us", "our"). By purchasing, installing, or using Phox Vault, you agree to these Terms.

1. License Grant

Upon purchase, we grant you a non-exclusive, non-transferable license to:

• Install and use Phox Vault on the number of websites specified by your license tier
• Receive updates for the duration of your license (1 year for annual licenses, lifetime for lifetime licenses)
• Access support according to your license tier

License Tiers

You May NOT:

• Redistribute, resell, or share your license key
• Use one license key on more sites than permitted
• Modify and redistribute the plugin as your own product
• Remove or alter copyright notices or license verification

2. Purchases and Payment

Pricing

All prices are in USD unless otherwise stated. Prices may change; existing licenses are not affected by price changes.

Annual Licenses

• Billed yearly from date of purchase
• Auto-renewal unless cancelled before renewal date
• Cancel anytime via your account dashboard

Lifetime Licenses

• One-time payment
• Includes updates and support for the lifetime of the product
• "Lifetime" refers to the product's commercial lifespan, not perpetuity

Refund Policy

We offer a 14-day money-back guarantee. If you're not satisfied, contact us within 14 days of purchase for a full refund.

Refunds are not available:

• After 14 days from purchase
• For renewal payments (cancel before renewal to avoid charges)
• If your license was terminated for Terms violations

3. Updates and Support

Software Updates

• Updates are provided via the WordPress dashboard or manual download
• We aim to maintain compatibility with current WordPress and Breakdance versions
• We do not guarantee compatibility with beta or development versions

Technical Support

• Support is provided via email at support@phox-elements.com
• We aim to respond within 1–2 business days
• Support covers installation, configuration, bug reports, and usage questions
• Support does not cover custom development, third-party conflicts, or server issues

4. Google Drive Integration

Your Responsibility

• Maintaining access to your Google account
• Your Google Drive storage quota
• Compliance with Google's Terms of Service

Our Limitations

• Google API changes, outages, or discontinuation
• Data loss due to Google account issues
• Changes to Google's free storage quotas

Data Ownership

Templates you create remain your property. We claim no ownership over your designs or content.

5. Acceptable Use

You agree NOT to:

• Use the plugin for any illegal purpose
• Attempt to bypass license verification
• Reverse engineer, decompile, or disassemble the plugin
• Use the plugin to store or distribute malicious content
• Share your license key publicly or with unauthorised users

6. Intellectual Property

Our Property

Phox Vault, including all code, design, and documentation, is owned by Phox Elements and protected by copyright law.

Your Property

Templates, designs, and content you create using Phox Vault remain your intellectual property.

Feedback

If you provide suggestions or feedback, we may use it to improve our products without obligation to you.

7. Disclaimer of Warranties

Phox Vault is provided "AS IS" without warranty of any kind.

We do not warrant that:

• The plugin will be error-free or uninterrupted
• The plugin will meet all your requirements
• All bugs will be fixed
• The plugin will be compatible with all themes, plugins, or configurations

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.

8. Limitation of Liability

• Our total liability is limited to the amount you paid for your license
• We are not liable for indirect, incidental, special, or consequential damages
• We are not liable for lost profits, data loss, or business interruption
• We are not liable for third-party actions (hosting providers, Google, etc.)

9. Indemnification

You agree to indemnify and hold harmless Phox Elements from any claims, damages, or expenses arising from your use of the plugin or violation of these Terms.

10. Termination

By You

You may stop using Phox Vault at any time. Uninstall the plugin and cancel your subscription if applicable.

By Us

We may terminate your license if you:

• Violate these Terms
• Share your license key
• Request a chargeback fraudulently
• Engage in abusive behaviour toward our team

Upon termination:

• Your license key will be deactivated
• You must uninstall the plugin from all sites
• No refund is provided for Terms violations

11. Changes to Terms

We may update these Terms from time to time. Continued use after changes constitutes acceptance of the new Terms.

12. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Phox Elements regarding Phox Vault.

Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

No Waiver

Failure to enforce any right does not waive that right.

Governing Law

These Terms are governed by the laws of the United Kingdom. Disputes shall be resolved in the courts of the United Kingdom.

Assignment

You may not assign your license without our written consent. We may assign our rights and obligations without restriction.
